BRAND PARTNER AGREEMENT

Introduction

This Brand Partner Agreement ("Agreement") governs the relationship between you ("Brand Partner," "you," or "your") and doebou, LLC ("doebou," "we," "us," or "our") when you apply to sell your collection on our platform. By submitting an application, you agree to the terms below.

1. What This Agreement Covers

doebou is a curated retail platform for independent men's fashion labels. We partner with brands to bring their collections to a wider audience. You retain ownership of your inventory until it sells. When an item sells, we collect payment from the buyer, deduct our commission and any applicable fees, and pay you the remainder.

2. Eligibility

To partner with doebou, you must:

· Be at least 18 years old
· Be the rightful owner and legal manufacturer or authorized distributor of the items submitted
· Have the legal right to sell the items
· Provide accurate contact, payment, and business information
· Agree to our quality and authenticity standards

3. Application Process

Step 1 — Submit your line. Complete the application form on our website with your brand name, website or Instagram, category, and a line sheet or catalog.

Step 2 — We curate. We review your quality, aesthetic, and fit for our platform. We may request samples for review.

Step 3 — Approval. If approved, we will send you a Brand Partner Agreement and shipping instructions.

Step 4 — You ship. Ship your approved collection to our warehouse. We handle photography, listings, marketing, and fulfillment.

Step 5 — You get paid. When your item sells, we process your payout within 3 business days.

4. Commission Structure

You receive a tiered commission based on the final sale price:

$30.01 – $100 65%
$100.01 – $500 70%
$500.01+ 75%

Net sale = Sale price less selling fees.

Example: If your item sells for $150, you receive 70% = $105. doebou keeps $45

5. Listing Period

Items are listed for up to 120 days. If your item does not sell within 120 days, we will contact you to arrange a return.

Return shipping costs are the Brand Partner's responsibility.

If you do not respond within 14 days of our return notice, we will hold your item for 30 additional days. After that, we may dispose of the item in accordance with applicable law.

6. Pricing and Markdowns

Pricing: We set the final listing price based on market research, brand positioning, and demand. You may suggest a wholesale or retail price, but doebou has final say on listing price.

Markdowns: If an item does not sell within 60 days, we may reduce the price by 10–20% to encourage a sale. We will notify you before any markdown.

7. Payouts — When and How You Get Paid

When you get paid:

· Payouts are processed within 3 business days after the buyer's 7-day return window closes.
· If the buyer returns the item, the sale is cancelled and no payout is issued.
· If the item is returned, it re-enters the listing period.

How you get paid:

· PayPal — sent to the email on your account
· Venmo — sent to the phone number on your account
· Bank transfer (ACH) — sent to the account details you provide

What you receive:

· Your commission tier percentage of the final sale price
· Minus any applicable shipping label costs
· Minus any markdowns applied (if applicable)

Payment schedule:

· Payments are issued Monday through Friday
· Payments are not issued on weekends or federal holidays
· Allow 1–3 business days after processing for the payment to appear in your account

Taxes:

· You are responsible for reporting and paying taxes on your earnings
· doebou will issue a Form 1099-K to Brand Partners who exceed IRS reporting thresholds ($600 in gross payments)
· Provide your W-9 information when requested

8. Quality and Authenticity

Your responsibilities:

· Items must be accurately described and photographed
· Items must be clean, new, or in excellent condition
· Items must be authentic — no counterfeits or replicas
· Items must be free of stains, tears, odors, and damage
· Items must meet doebou's quality standards as determined by our curation team

Our rights:

· We inspect every item upon arrival
· If an item does not match the approved samples or description, we may decline it
· If an item is declined, you may pay for return shipping or forfeit the item
· If an item is found to be counterfeit, we will not list it and may report it

9. Shipping

Brand Partner to doebou:

· After approval, we send you shipping instructions
· You are responsible for packaging items securely
· doebou is not responsible for items lost or damaged in transit

doebou to buyer:

· We ship all sold items via USPS, UPS, or FedEx
· Shipping costs are paid by the buyer or included in the listing price
· Risk of loss passes to the buyer upon delivery

10. Returns

Buyer returns:

· Buyers may return items within 7 days of delivery if significantly not as described
· If a buyer returns an item, the sale is cancelled and no payout is issued
· The item re-enters the listing period

Brand Partner returns:

· If your item does not sell within 120 days, we will contact you to arrange a return
· Return shipping costs are your responsibility
· If you do not respond within 14 days, we will hold your item for 30 additional days, then dispose of it in accordance with applicable law

11. Damage or Loss

doebou is not responsible for:

· Items lost or damaged in shipping to us
· Items lost or damaged in shipping to the buyer
· Items lost or damaged due to circumstances beyond our control (fire, theft, natural disaster)

We recommend insuring all shipments.

12. Exclusivity

Unless otherwise agreed in writing, this Agreement is non-exclusive. You may sell your collection through other channels, including your own website and other retailers.

13. Termination

Either party may terminate this Agreement at any time by written notice. Upon termination:

· Any items currently listed will remain listed for the remainder of the 120-day period
· Any items not yet listed will be returned to you at your cost
· Any pending payouts will be processed within 7 business days

14. Governing Law

This Agreement is governed by the laws of the State of Delaware. Any disputes will be resolved in the state or federal courts located in Delaware.

15. Changes to This Agreement

We may update this Agreement from time to time. When we do, we will:

· Update the "Last Updated" date at the top of this page
· Post the revised Agreement on our Site
· Notify active Brand Partners by email if the changes are significant

Your continued use of our services after changes are posted means you accept the updated Agreement.
